Software License Terms and Conditions

These Software License Terms and Conditions (“Agreement”) govern the use of software products provided by UQuick Technologies India Limited (“Licensor”) to the end user (“Licensee”). By installing, copying, or otherwise using the Software, the Licensee agrees to be bound by this Agreement.
1. Definitions
“Software” refers to any digital product, application, tool, or system developed or distributed by the Licensor, including updates, patches, and associated documentation.
“License” refers to the right to use the Software as granted under this Agreement.
“Activation” means the date the Licensee first enables or begins using the Software.
“Licensee” refers to the individual or legal entity purchasing or using the Software under this Agreement.
2. Grant of License
Subject to the terms of this Agreement, Licensor grants the Licensee a non-exclusive, limited-transferable, non-sublicensable right to install and use the Software on supported systems, within the limitations of the license type purchased.
3. License Types and Duration
Licensor offers the following license durations:
3.1 1-Year License
Term: 365 consecutive days from activation
Renewable: Yes, upon expiration
3.2 3-Year License (999-Day License)
Term: 999 consecutive days from activation
Clarification: Marketed as a “3-Year License” for simplicity, but actual term is fixed at 999 days
Renewable: Yes, upon expiration
3.3 Lifetime License
Term: 20 years (7300 days) from activation
Clarification: “Lifetime” refers to a 20-year term of access, not the literal lifetime of the user or the product
Renewable: No (non-expiring during the 20-year term)
- Product Reset Key Limitations: A Lifetime License includes a maximum of 5 Times Resets over a 20-Year Period. Any additional key reset requests will incur a service charge as per the applicable rates.
All license terms begin on the activation date, not the purchase date.
4. License Scope and Restrictions
4.1 Permitted Use
Use the Software solely for personal or business use as defined in the selected license type
Install on a number of devices/users permitted under the purchased license
4.2 Restrictions
The Licensee may not:
Modify, reverse-engineer, decompile, or disassemble the Software
Distribute, lease, sublicense, sell, or transfer the Software to any third party
Use the Software in any illegal or unauthorized manner
Circumvent license enforcement mechanisms or manipulate license durations
5. Ownership and Intellectual Property
The Software is licensed, not sold. All intellectual property rights remain the sole property of the Licensor. Licensee acknowledges that no ownership rights are transferred through this Agreement.
6. Support and Updates
Licensor may provide updates, patches, or enhancements during the license term.
Technical support is available during the valid license period as per the purchased support level.
Lifetime license holders receive support and updates for the duration Support terms & Conditions.
7. License Management
Licensor may use license management tools (e.g., activation keys, server validation, device checks) to monitor and enforce compliance.
Expired licenses will restrict access to premium or core features until renewed.
Licensor reserves the right to revoke or disable licenses found to be in breach of this Agreement.
8. Termination
Licensor may terminate the License immediately if:
The Licensee breaches any terms of this Agreement
Unauthorized use, duplication, or distribution of the Software is detected
Upon termination:
Licensee must cease all use and delete all copies of the Software
No refund or credit will be issued
9. Refunds and Cancellations
Activated licenses are non-refundable
Unused licenses may be eligible for a refund under specific circumstances and only within 0 days from purchase, subject to Licensor’s approval
10. Limitation of Liability
To the maximum extent permitted by law, the Licensor shall not be liable for:
Any indirect, incidental, or consequential damages
Loss of data, business interruption, or profit loss resulting from use or inability to use the Software
Total liability under this Agreement is limited to the amount paid for the license.
11. Disclaimer of Warranties
The Software is provided “as is” without warranties of any kind, express or implied. Licensor disclaims all warranties, including but not limited to:
Merchantability
Fitness for a particular purpose
Non-infringement
12. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Subject to Rajkot Jurisdiction.
Any disputes arising from this Agreement will be resolved through binding arbitration or the courts of Subject to Rajkot Jurisdiction, unless otherwise specified.
13. Amendments
Licensor reserves the right to modify this Agreement at any time. Continued use of the Software after updates to the terms will constitute acceptance of those changes.
14. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations, or understandings.
By installing, activating, or using the Software, you acknowledge that you have read, understood, and agreed to these Software License Terms and Conditions.
